1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Ironside website at getironside.com (the "Site") and the products and services offered through it (collectively, the "Services"), operated by Ironside Supply Co., a Wyoming limited liability company ("Ironside," "we," "our," or "us"). By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, Refund & Return Policy, Shipping Policy, and Subscription Terms, each of which is incorporated by reference.

If you do not agree to these Terms, do not use the Site.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services or make a purchase. By placing an order you represent that you meet these requirements.

3. Account Registration

You may create an account to manage orders, subscriptions, and saved addresses. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us at support@getironside.com if you suspect unauthorized access.

4. Orders and Pricing

All orders are subject to acceptance. We may decline or cancel any order at our discretion, including for suspected fraud, pricing errors, or inability to fulfill.

Prices are listed in U.S. dollars and exclude taxes and shipping unless explicitly stated. We may change pricing at any time; changes do not apply retroactively to orders already placed.

In the event of a clear pricing error (for example, a filter listed at $0.00 or 95% below market), we reserve the right to cancel the affected order and refund any payment collected.

5. Payment

We accept the payment methods displayed at checkout. Payment is authorized at order placement and captured at fulfillment for one-time orders, and on each renewal date for subscription orders. By submitting a payment method, you authorize us (and our payment processor) to charge it on the terms described at checkout.

6. Subscriptions

Subscription purchases automatically renew on the cadence you select (every 30, 60, or 90 days) until canceled. You may skip, pause, or cancel from your account dashboard at any time before the next renewal date. 7. Returns and Refunds

Returns are governed by our Refund & Return Policy. In summary: 30-day return window, unused condition, customer pays return shipping on standard returns, Ironside pays on defects or our errors.

8. Shipping

Shipping is governed by our Shipping Policy. Title and risk of loss pass to you when the package is tendered to the carrier.

9. Product Information and Specifications

We make commercially reasonable efforts to ensure that product descriptions, MERV ratings, dimensions, and images are accurate. Filters are manufactured to ASHRAE 52.2 testing standards. Minor variations in color, dimension, or media density may occur due to manufacturing tolerances and do not constitute a defect. If a product is materially different from its description on the Site, you are entitled to a refund or replacement under our Refund Policy.

10. Intellectual Property

The Site, including all content, logos, product photography, infographics, copy, and the "Ironside" wordmark, is owned by Ironside Supply Co. or licensed to us. You may not copy, reproduce, distribute, scrape, or create derivative works without prior written consent, except for personal, non-commercial review.

User-submitted content (reviews, photos, comments) remains your property, but by submitting it you grant Ironside a worldwide, royalty-free, perpetual, non-exclusive license to use, display, modify, and distribute that content in connection with the Services and our marketing.

11. Prohibited Uses

You agree not to:

Use the Site for any unlawful purpose
Attempt to gain unauthorized access to any portion of the Site or its systems
Use any automated means (bots, scrapers, crawlers) to collect data from the Site without written permission
Misrepresent your identity or affiliation
Interfere with or disrupt the Site or its servers

12. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Air filters are a wear product. We do not warrant that any specific filter will resolve any specific air-quality condition. Filtration outcomes depend on HVAC system condition, run time, home conditions, and replacement cadence.

13. Limitation of Liability

To the maximum extent permitted by law, Ironside Supply Co., its officers, employees, affiliates, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or HVAC system damage, arising out of or in connection with the Services or the use of any product.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to Ironside in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Ironside Supply Co. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Services.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.

16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Sheridan, Wyoming, or remotely, at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: You and Ironside agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Opt-out: You may opt out of this arbitration provision by emailing support@getironside.com within 30 days of first agreeing to these Terms. Opting out does not affect any other provision of the Terms.

Small claims court actions and claims for injunctive relief regarding intellectual property are exempt from arbitration.

17. Modifications

We may update these Terms at any time. Material changes will be communicated by email (if you have an account) or by a notice on the Site. Continued use of the Site after changes take effect constitutes acceptance.

18. Termination

We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including suspected fraud, abuse, or breach of these Terms.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Shipping Policy, and Subscription Terms, constitute the entire agreement between you and Ironside regarding the Services.
